1. The agreement
These Platform Terms of Service (the “Platform Terms”) are an agreement between you and MUSO.AI and govern your use of the Muso.AI developer platform — the console at platform.muso.ai, the API served at api.platform.muso.ai, and the account, key, team, and billing features that come with them (together, the “Platform”).
The Platform Terms supplement the general Muso Terms of Service published on muso.ai properties. Where the two conflict for Platform use, these Platform Terms control. Use of the data served by the API is governed by the Data License Agreement, which is incorporated into these Platform Terms by reference.
By creating an account, subscribing to a plan, or making an API request, you accept these Platform Terms on your own behalf and on behalf of the organization whose workspace you act in.
2. Accounts and workspaces
You must provide accurate account information and keep it current. Accounts belong to individuals; workspaces belong to organizations and may have multiple members with different roles (owner, admin, member).
Workspace owners and admins are responsible for the people they invite and for all activity under the workspace, including API usage and charges incurred by any member or key.
3. API keys and security
API keys are secrets. You are responsible for keeping them confidential and for all requests made with them.
- Do not embed keys in client-side code, mobile binaries, or public repositories.
- Do not share a key outside the workspace it was issued to.
- Rotate or revoke a key from the console immediately if you believe it is compromised; we may also revoke keys we reasonably believe are compromised or abused.
- Keys are disabled automatically when the subscription that backs them ends.
4. Plans, billing, and usage
Per-call rates and capability fees are stated on the pricing page and in your checkout, and are charged through our payment processor. API usage is metered in marginal volume bands — each band's rate applies only to the calls that fall inside it — and is billed in arrears on one itemized monthly invoice; flat capability fees (memberships, SSO, Platform Analytics) are billed in advance.
There are no trials. A payment method is required to activate an API key; a one-time welcome credit is applied to your account and drawn down before your card is charged.
Usage has an abuse ceiling. Volume above the published catalog-scale ceiling is not available as pay-as-you-go at any price; it requires an enterprise agreement, and requests above it are refused. The roster Workspace key included with Muso Pro/Business subscriptions is limited to 10,000 requests per day, is never billed, and stops (HTTP 429) at its cap.
Fees are non-refundable except where the law requires otherwise. Prices may change with at least 30 days' notice; changes apply from your next billing period. You are responsible for applicable taxes.
5. Acceptable use
You may not interfere with or circumvent the Platform's technical and licensing controls, and you may not use the Platform for unlawful purposes.
- No circumventing rate limits, quotas, usage metering, or the usage ceiling (including by distributing requests across accounts or keys).
- No probing, scanning, or testing the Platform's security except as we authorize in writing.
- No use of the API to build, train, or improve a product whose purpose is to substitute for the Platform or the data it serves — the Data License Agreement governs data use in detail.
- No reselling Platform access itself (API access is for your organization's own applications).
6. Your use of Muso data
All data returned by the API is licensed, not sold, and only under the Data License Agreement. In short: the license is live — data is fetched at the moment of use and is not cached, stored, or redistributed on your side. Read the Data License Agreement; it is part of these Platform Terms.
7. Availability and support
The Platform is provided as-is and as-available. We do not commit to an uptime level or a support response time under these Platform Terms. Enterprise agreements may include availability and support commitments; if you need them, talk to sales.
We may change, add, or retire Platform features. If a change materially reduces what your paid plan includes, we will give notice and you may cancel before it takes effect.
8. Suspension and termination
You may cancel your subscription at any time, effective at the end of the current billing period.
We may suspend or terminate access — including disabling keys — for material breach of these Platform Terms or the Data License Agreement, for non-payment, or to prevent abuse or harm to the Platform or its data. Where practical we will notify you and give you a chance to cure.
On termination, your keys stop working and the data license ends immediately. Because the license never permitted storage, there is nothing to return; anything retained in breach of the Data License Agreement must be destroyed as that agreement requires.
9. Disclaimers and liability
THE PLATFORM AND ALL DATA ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MUSIC METADATA IS COMPILED FROM MANY SOURCES AND MAY CONTAIN ERRORS OR OMISSIONS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUSO.AI'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM IS LIMITED TO THE FEES YOU PAID FOR THE PLATFORM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.
10. Governing law and disputes
These Platform Terms are governed by the laws of the State of California, exclusive of its rules on choice of law and conflict of laws. Consistent with the Muso Terms of Service, disputes are resolved by binding arbitration on an individual basis, and proceedings that belong in court may be commenced only in the state or federal courts located in Los Angeles County, California; both parties consent to the jurisdiction of those courts.
11. Changes to these terms
We may update these Platform Terms. For material changes we will give notice through the console or by email before they take effect. Continued use of the Platform after a change takes effect constitutes acceptance.
